Short answer: EA closed BioWare on Oct 21 2026, eleven weeks after a PIF, Silver Lake and Affinity Partners group took it private with $18.0 billion of new debt. Our floor estimate puts the yearly interest on that debt at $921 million, more than EA's entire $887 million net income last fiscal year. BioWare was about 50 people. The math, not Mass Effect, decided this one.

TL;DR: EA's borrowings went from $1.5 billion before the buyout to $18.0 billion after it closed on Aug 4 2026, a 12x jump, and the yearly interest bill went from about $36 million to at least $921 million by our count. Fans answered the closure by flooding Steam: Mass Effect Legendary Edition went from 17.5 new reviews a day to 138 a day (7.9x), 94.7% of them positive, and the BioWare Wikipedia page went from 553 views a day to 170,992 in one day. The people who wrote the checks are fine: CEO Andrew Wilson's merger payout was estimated at $118.4 million and Goldman Sachs' advisory fee at $110 million, while EA spent $12.4 billion buying back its own stock in the 11 years before the deal.

BioWare was 50 people. The interest bill is $921 million

On Oct 21 2026 EA told staff it was ending "early development on the next Mass Effect project" and closing BioWare and its Edmonton office. Around 400 people lost jobs across EA, about 50 of them at BioWare, per The Verge and Bloomberg.

The official reason is focus. EA presidents Cam Weber and David Tinson wrote that the company will "concentrate our efforts on fewer simultaneous, large-scale projects" and that "we do not take this decision lightly."

Here is what the memo leaves out. Eleven weeks earlier, EA stopped being a public company and became the borrower of record on one of the biggest leveraged buyouts in gaming history. A leveraged buyout (LBO) means the buyers pay partly with loans, and the company they buy carries those loans afterward.

The buyout loaded $18 billion onto EA's back

The closing 8-K, filed Aug 4 2026, lists every piece. A term loan B of $6,125 million plus €1,725 million. A term loan A of $3,250 million. Secured notes of $2,875 million at 7.25% and €1,080 million at 6.25%, both due 2033. Unsecured notes of $2,500 million at 8.75%, due 2034.

Convert the euros at the Aug 4 rate of 1.1527 from FRED and the total is $17.98 billion. EA itself guarantees it, and the loans are secured by "substantially all assets" of the parent and guarantors, EA included.

Before the deal, EA owed $1.5 billion in old notes at 1.85% and 2.95%. That is about $36 million of interest a year. Now the fixed notes alone cost $505 million a year in coupons.

The $11.4 billion of term loans float. The filing does not print their spread, so we priced them at the bare overnight SOFR rate of 3.66% with zero spread, which no lender on earth charges a buyout borrower. That is a floor, not a guess: at least $921 million a year. The real bill is higher.

Bar chart: EA borrowings were $1.5B on Mar 31 2026 and $18.0B after the buyout closed on Aug 4 2026, a 12x jump.

EA's whole net income in fiscal 2026 (year to Mar 31) was $887 million. Operating income was $1,162 million. So the interest floor alone is 104% of last year's profit and 79% of last year's operating income.

When a company has to find nearly a billion dollars a year before it earns a cent, everything that does not pay back fast goes first. A slow, expensive, single-player RPG studio whose last game missed its target by half is the first line on that list. That is our read, and the numbers point straight at it.

Follow the money: who got paid before BioWare got cut

The buyers committed about $36.4 billion of equity and lined up $20 billion of debt from JPMorgan, per the merger proxy. Shareholders got $210 a share in cash. Saudi Arabia's Public Investment Fund already owned 9.9% and rolled its stake into the new company.

The proxy also prices the exits. Andrew Wilson, EA's chair and CEO, had an estimated $118.4 million in merger-related payments if he is let go after the deal: $12.4 million cash and $105.9 million of equity. Goldman Sachs, EA's advisor, was owed a fee of about $110 million.

Put those next to BioWare. If you assume $200,000 a year fully loaded per developer (our assumption, not a filing), a 50-person studio costs about $10 million a year. Wilson's payout estimate alone would have run BioWare for roughly 12 years. Goldman's fee, 11.

EA spent $12.4 billion on its own stock first

This did not start with the Saudis. From fiscal 2016 to fiscal 2026, EA spent $12.43 billion buying back its own shares, per its XBRL filings. The peak was fiscal 2025: $2.51 billion, the same year Dragon Age: The Veilguard came out.

On Jan 22 2025 EA warned investors that Dragon Age "engaged approximately 1.5 million players during the quarter, down nearly 50% from the company's expectations," in its own press release. It cut BioWare staff that year. Buybacks that fiscal year still hit a record.

The pattern is the whole story of modern big-publisher gaming. Cash goes to the share price, then the share price goes to the buyers, then the debt goes to the studio, then the studio goes away.

The fans voted with reviews, and it was not close

We pulled Steam's review history for 10 BioWare games on Oct 25 2026, all languages. Every game with a real baseline got a bump after Oct 21. Mass Effect Legendary Edition went from 17.5 new reviews a day (Sep 26 to Oct 20) to 138 a day (Oct 21 to 24), and 94.7% of those were thumbs up, up from 90.6%.

Across the 10 games, 799 new reviews landed in four days, and 713 of them (89.2%) were positive. Those are not rage reviews. People are writing eulogies.

Line chart of new Steam reviews per day from Sep 26 to Oct 25 2026: Mass Effect Legendary Edition runs 10 to 28 a day, then jumps to 119 on Oct 21 and 181 on Oct 22; Dragon Age Origins and The Veilguard rise from under 10 to about 14 to 25.

The lifetime scores tell you which BioWare EA killed. Mass Effect Legendary Edition sits at 90.3% positive on 65,798 Steam reviews, and the 2007 original at 93.4%. The Veilguard, the game made under EA's modern live-service era, sits at 69.5% on 43,101.

The audience never left. On a Sunday morning (8:30 AM ET, Oct 25), 6,299 people were playing these 10 games on Steam at once, 3,707 of them in Mass Effect Legendary Edition, a game from 2021 that remasters games from 2007 to 2012.

Everyone looked up BioWare at once

The BioWare article on English Wikipedia averaged 553 human views a day from Sep 1 to Oct 20. On Oct 21 it got 170,992, about 309 times normal, then 120,343 the next day.

The Mass Effect page went from about 793 a day to 17,260 on Oct 22. The Veilguard page went from 457 to 29,072. That is a brand with real pull, the exact thing a buyout firm says it is paying for.

Bar chart of English Wikipedia human views of the BioWare article: 553 a day on average Sep 1 to Oct 20, then 170,992 on Oct 21, 120,343 on Oct 22, 41,467 on Oct 23 and 20,447 on Oct 24.

And the IP is not dead. Amazon's Mass Effect TV show is still in development, per IGN via The Verge, and a Mass Effect 5 trailer leaked a day after the shutdown. Our bet: the brand gets licensed or farmed out to a cheaper team within two years, because a debt-heavy owner wants the royalty, not the payroll.

Who wins, who loses

  • Wins: the PIF, Silver Lake and Affinity Partners group, which now owns EA Sports FC, Battlefield and the Mass Effect IP outright. Lenders collecting 6.25% to 8.75% on the notes. Executives with change-in-control payouts. Advisors with nine-figure fees.
  • Loses: about 400 workers, Edmonton's game scene, and every player who wanted a single-player RPG that takes six years and does not sell battle passes.
  • Next in line: EA also paused The Sims "Project Lotus" and is shrinking the skate. studio, per the same memo. Expect more studios to get the "focus" treatment while the interest clock runs.

This is not just EA. Xbox is cutting 3,200 and Epic laid off over 1,000 this year, per The Verge. We tracked the same move at a bank this week: American Express cut 5% after $5.5B in buybacks. And the Xbox side of this fight is in our Xbox and Netflix IP piece. More on the money side lives in Economics and Tensorust News, and the rest of our gaming coverage is under Games.

What this means for you

If you play: the studio is gone, but the games are not. Buy and back up the ones you care about while they are still sold, and leave the review. 799 new Steam reviews in four days say people already are, and that is the only signal a buyout owner reads.

If you work at a company that just got bought: open EDGAR, search your employer, and read the closing 8-K. Add up the term loans and notes, multiply by the coupon, and compare it to last year's net income. If interest is close to profit, start your job search now, not after the "focus" memo.

When you do, our $10 Job Hunt Kit matches your resume to the job post and writes a cover letter that reads like you, offline. If it does not get you there, we keep fixing it at no extra cost until it does.

Not financial advice. Our interest figure is our own floor estimate from the filings, not a number EA reported.
