Short answer: EQT is buying Range Resources in an all-stock deal announced before the bell on October 26, 2026: 0.987 EQT shares for every Range share. At Friday's closes that is $54.91 per Range share against a $45.52 close, a 20.6% premium worth about $2.2 billion. Our read: EQT is paying up to own the cheapest gas in the Appalachian Basin right next to the data centers that will burn it.

TL;DR: We ran the exchange ratio against the October 23 closes and the share counts in each company's last 10-Q: EQT issues about 230.6 million new shares, worth $12.8 billion, for a company the market valued at $10.6 billion. EQT promises $325 million a year of base synergies, so the $2.2 billion premium takes about 6.7 years of those savings to earn back. Henry Hub gas sat at $3.10 on October 20, so this is a bet on future demand, not on today's price, and Range holders get 27% of the combined company for taking it.

EQT pays $2.2 billion over market for Range

Range had 233,679,515 shares outstanding on its last 10-Q. Multiply by 0.987 and EQT prints about 230.6 million new shares.

At EQT's $55.63 close on Friday, those shares are worth $12.83 billion. The market said Range was worth $10.64 billion the same afternoon. The gap, about $2.19 billion, is the price of control.

Range holders end up with 26.9% of the combined company on our count, matching the roughly 27% in the release. EQT's existing owners keep about 73%.

Why all stock, and why it matters to Range holders

An all-stock deal means no cash changes hands. Range owners swap their shares for EQT shares at a fixed ratio, so their payout moves with EQT's price every day until closing.

That is good for EQT: no new debt, and the release says the combined company should carry BBB-quality credit metrics at close. It also means Range holders are not cashing out. They are being asked to bet on the same gas thesis, just inside a bigger company.

The five-year chart shows why both boards were comfortable. In November 2021, EQT closed at $19.43 and Range at $19.56, basically level. By October 23 2026, EQT was at $55.63 and Range at $45.52. EQT pulled ahead after it bought its own pipelines from Equitrans, and that gap is exactly what made its stock a strong currency for this purchase.

A fixed ratio cuts both ways. If EQT drops 10% before Q1 2027, Range holders get 10% less. If gas contracts for data centers land first, both sides ride the move up together.

The synergy math takes almost seven years

EQT says it will save $325 million a year within two years, across corporate overhead, operations and marketing. A $2.19 billion premium divided by $325 million is 6.7 years of savings before the premium is paid back, before any time value of money.

The "more than $600 million" long-term figure cuts that to under four years. That number depends on what the release calls "development and infrastructure optimization" and better margins on gas, LNG and NGL marketing. Translation: the cheap savings are not enough; the deal needs gas demand to show up.

Follow the money: the real buyer is AI power demand

Henry Hub, the US benchmark gas price, has spent most of 2026 around $2.60 to $3.35, apart from a $7.18 spike in January. Nobody pays a 20% premium for a gas producer because gas is expensive today. You pay it because you think someone will sign long contracts for it tomorrow.

The release says it plainly: EQT wants to be "the operator of choice for premium, long-term supply arrangements" with "growth optionality underpinned by contractual demand." In Appalachia right now, the biggest new contract buyers are gas-fired power plants being built to feed data centers. Our bet: this is a hyperscaler power deal wearing a gas merger costume.

Who wins: Range holders get a 20.6% pop in stock that keeps the upside. EQT's bankers, Citi and RBC, and Range's, Evercore and J.P. Morgan, get paid either way. Data center developers get one bigger, cheaper supplier with 3,700+ miles of pipe to sign with.

Who loses: anyone hoping two Appalachian giants would keep competing on price for those supply contracts. One seller with 9+ Bcfe a day has more leverage at the table than two did.

Revenue says Range is a third of EQT

Over the last four reported quarters (Q3 2025 to Q2 2026), EQT booked $9.54 billion of revenue and Range $3.44 billion, per their XBRL filings. Both numbers include hedge gains and losses, so they swing quarter to quarter.

The $325 million synergy target is about 2.5% of the combined $12.97 billion. That is believable. The $2.2 billion premium is the part that needs the AI power story to be true.

What to watch next

Both companies report Q3 2026 results after the close on October 27, and the joint call is at 8:00 AM ET today. The deal needs regulators and both sets of shareholders, with a close targeted for Q1 2027.

Watch for any named data center supply contract in the S-4 merger filing. That document will show how much of the premium is backed by signed demand and how much is hope. More deep tech money stories live at Tensorust News and the deep tech + finance hub, with the wider picture under economics.

What this means for you

If you hold RRC, the spread between $45.52 and $54.91 is the market's bet on whether this closes and where EQT trades. If you build or buy compute, the gas that powers your next data center just got one bigger seller; price your power contracts with that in mind.
