TeraWulf's lenders just added $150M. Musk says neocloud credit is shut

On this page · 9 sections
Short answer: On October 23, two days before Elon Musk said debt markets have shut off credit for AI data center firms, TeraWulf (WULF) filed an 8-K showing Morgan Stanley's lending group raised its revolving credit line from $250 million to about $400 million, with room for $150 million more. Credit is not shut. It is getting picky, and the bill is brutal: TeraWulf paid $56.4 million in interest last quarter on $44.8 million of revenue.
TL;DR: TeraWulf's senior secured revolver grew 60% on October 23, and the $150 million letter-of-credit sublimit was removed. The same company lost $1.37 billion in the first half of 2026 and spent $1.38 billion on capex, so the new money covers about one month of building. Neocloud stocks fell 15% to 66% from July 24 to October 23, which is the real signal: lenders still lend, but equity holders are paying for the wait.

Musk said the door is shut. The filing says it moved
On October 25, Musk posted that SpaceX had closed $40 billion of GPU debt, that debt markets have shut off credit for AI data center firms, and that 200+ neoclouds face "death and consolidation" (as summarized by Techmeme). A neocloud is a company that rents out GPUs for AI work without being Amazon, Microsoft or Google.
Two days earlier, TeraWulf, one of the best-known neoclouds, told the SEC the opposite story. Its lenders, led by Morgan Stanley Senior Funding as agent, raised the revolver to about $400 million and added an uncommitted $150 million accordion. A revolver is a credit card for companies: draw, repay, draw again.
The guy who just borrowed $40 billion telling everyone else the window is closed is a classic move. Fewer rivals at the lender's table means cheaper money for the one still sitting there. We covered his side of that trade in SpaceX's $40B Nvidia chip debt at 8.3%.
The cost of staying open: interest above revenue
Credit is open. It is just expensive relative to what these companies earn today. TeraWulf's interest expense went from $4.0 million in Q2 2025 to $56.4 million in Q2 2026, a 14x jump in a year.
In both quarters of 2026, interest beat revenue: $67.1 million vs $34.0 million in Q1, $56.4 million vs $44.8 million in Q2. That is a company borrowing against a future (long AI hosting leases) that has not shown up in the income statement yet.

Follow the money: who wins, who loses
Lenders win. A senior secured revolver sits at the top of the pile, backed by collateral. Morgan Stanley's group gets fees and first claim. Notice the 8-K also lets collateral be released "upon the occurrence of certain conditions": lenders are confident enough to plan their own exit from the security.
Shareholders lose, so far. TeraWulf lost $1.37 billion in six months. Its stock fell 38.7% in three months. Cipher (CIFR) fell 65.7%, IREN 32.8%, Applied Digital (APLD) 32.9%, CoreWeave (CRWV) 24.5% and Nebius (NBIS) 15.5%.

Musk wins either way. If he is right, rivals die and xAI buys their GPUs cheap. If he is wrong, he still locked his $40 billion before anyone else could read the room. Our bet: he is half right. The weakest neoclouds without signed hyperscaler leases get squeezed; names with leases, like TeraWulf, keep getting revolvers.
$150M is about one month of building
Scale matters. TeraWulf spent $1.38 billion on property and equipment in the first half of 2026, about $230 million a month. Even the full $550 million line, if every accordion dollar shows up, covers under three months of that pace.

So the revolver is a liquidity cushion, not growth funding. The growth money came from convertibles ($1.10 billion on the June balance sheet) and cash raised earlier ($2.62 billion on hand). The next test is whether the convertible market stays open when the stock is 39% lower.

Who actually gets cut off first
"Credit is shut" is a headline. Credit markets do not close like a store; they reprice and they sort. The sorting here is easy to predict from what lenders can repossess.
A neocloud with a signed multi-year lease from a big tenant has a contract a lender can underwrite. A neocloud renting GPUs by the hour to startups has a revenue line that can vanish in a month. The first gets a revolver bump on a Thursday. The second gets a polite no, or a rate that only makes sense to a desperate borrower.
That is why the three-month drawdowns spread so wide, from 15.5% at Nebius to 65.7% at Cipher. The market is not pricing "AI is over". It is pricing which balance sheets survive a slower year, name by name.
How to read a credit 8-K in five minutes
You do not need a terminal to do what the funds do. Every US-listed company has to file within four business days when it signs or changes a material loan. Here is the routine we ran on this one:
- Open the company's EDGAR page and filter for 8-K. Look for Item 1.01 (new or changed agreement) and Item 2.03 (new debt).
- Find the agent bank. Morgan Stanley as agent tells you a top-tier desk still wants the risk.
- Compare old vs new commitment. Up is open credit; down, or tighter covenants, is the door closing.
- Check what was loosened or tightened: here the letter-of-credit sublimit was eliminated and a collateral release path was added. Both are borrower-friendly.
- Put the new line next to quarterly capex and interest from the last 10-Q. That turns a press-release number into months of runway.
Run that on every neocloud you care about each week, and you will see the squeeze Musk is describing before it reaches a tweet, or see that it is not happening.
What this means for you
If you hold or trade neocloud names, stop reading tweets about credit and read the 8-Ks: Items 1.01 and 2.03 tell you, in plain dollars, who is still getting money and on what terms. TeraWulf's Q3 10-Q (it will carry the full amended credit agreement) is the next check. Watch interest vs revenue; the day revenue passes interest is the day the bet starts paying.
