Short answer: Nvidia says it will put $3 billion into Meta's new stock sale, per CNBC. That buys about 4.76 million shares at Monday's close and covers 13.3% of the $22.5 billion common stock tranche. Against the $454.52 billion Meta has locked itself into paying suppliers, it is 0.66%. Our read: this is not a bet on Meta. It is a chip seller topping up its biggest customer's checking account so the orders keep coming.

TL;DR: Meta's prospectus filed Oct 26 names Nvidia, AMD and Broadcom as "Cornerstone Investors" interested in up to $5.0 billion of its stock, and Nvidia's slice is $3 billion. On the announcement day Meta closed down 1.9% while all three chip buyers closed up 2.3% to 2.8%, because the market knows where the $95 billion goes. Nvidia's private stakes grew 12.6x in a year, from $3.8 billion to $47.9 billion, and it now reports $99 billion of equity investments plus $25 billion more committed.

$3 billion is a rounding error on what Meta owes

Meta's own 10-Q says it had $454.52 billion of non-cancelable contractual commitments on Sep 30. Those are bills it cannot walk away from: cloud capacity, servers, network gear, energy deals.

$45.85 billion of that is due before the end of 2026. Another $121.41 billion is due in 2027. Nvidia's $3 billion covers 0.66% of the pile.

Put it in days instead. Meta spent $83.06 billion on property and equipment in the first nine months of 2026, about $304 million a day. Nvidia's check pays for roughly 9.9 days of that.

So nobody should read this as Nvidia funding Meta's buildout. It is a signal, priced at what a signal costs.

The deal, read from the filings

The CNBC headline says $3 billion. The prospectus says more. Meta filed two prospectus supplements on Oct 26: one for $22.5 billion of Class A common, one for 250 million depositary shares of mandatory convertible preferred, each a 1/20th slice of a $1,000 share, so $12.5 billion.

The common is sold through a forward sale. Morgan Stanley and Goldman borrow shares and sell them now; Meta delivers new shares later and gets paid then. In the filing's words, "We do not expect to initially receive any proceeds" from that sale.

Inside that common tranche sits the line that matters. "NVIDIA Corporation, Advanced Micro Devices, Inc., and Broadcom Inc." have "indicated an interest in purchasing up to an aggregate of $5.0 billion" at the same price as everyone else. The filing also says these indications "are not binding agreements."

Follow the money: who wins, who loses

The money loop is short. Meta sells stock. Meta spends the cash on data centers. A big share of the data-center bill goes to chips and networking from the same three companies now buying the stock.

The market priced it in a day. From Friday's close to Monday's, Meta fell 1.9% while Nvidia rose 2.4%, AMD 2.8% and Broadcom 2.3%. The issuer paid; the suppliers got paid.

Who loses? Existing Meta holders absorb dilution on stock that, as we showed in our Meta stock offering breakdown, gives them less say every year. Who wins? Anyone selling Meta the picks and shovels, now with a seat in the cap table.

Nvidia now runs a second business: owning its customers

This is not a one-off. Nvidia's latest 10-Q reports $99 billion of equity investments and $25 billion of equity commitments as of Jul 26, 2026.

Its private stakes, the "non-marketable equity securities" line, went from $3.8 billion in July 2025 to $47.9 billion in July 2026. That is 12.6x in a year, against revenue that roughly doubled from $46.7 billion to $96.2 billion a quarter.

We already counted the guarantees and buyback deals in Nvidia's $288B of backstops. The Meta check adds a new kind of borrower: a profitable hyperscaler, not a cash-burning neocloud. Our bet: that is the point. A stake in Meta is the safest way for Nvidia to recycle cash into its own order book.

Who blocks this? Nobody, so far

We looked for the gate. The prospectus lists no regulatory approval for the cornerstone purchase, and at $3 billion Nvidia's slice is roughly 0.2% of Meta's 2.56 billion shares. No antitrust filing line, no vote.

The only real check is disclosure, and it is thin. Nvidia does not name Meta as a direct customer; its 10-Q only says five direct customers made up 22%, 14%, 13%, 11% and 10% of receivables. Meta's 10-Q does not split its $454.52 billion by vendor. So the size of the loop is the one number neither side prints.

That is the data gap builders can close. Earnings land this week: Meta's next numbers and the rest of the AI spenders are in our Big Tech earnings free-cash-flow tracker, and the chip-debt side is in the SpaceX $40B Nvidia chip debt deal.

What this means for you

If you hold or trade any of these four names, watch three numbers, not the headline: the final pricing in Meta's 424B5, whether AMD and Broadcom actually fill the other $2 billion, and Nvidia's next "equity investments" total in its 10-Q. If you build on AI infrastructure, read the vendor-financing loop as a price signal: suppliers paying customers to keep buying means supply is not the bottleneck, so push your GPU and cloud contracts on price.
