SK Hynix special dividend: $12B from Kioxia, 1.8% of a stock down 56%

On this page · 8 sections
Short answer: SK hynix is reported to be weighing a special dividend of about 16 trillion won ($12.0 billion), roughly 23,000 won a share, paid out of the gains on its old Kioxia stake. The company says nothing is final and will announce its plan with Q3 earnings on Wednesday, October 28. At Monday's close of 1,275,000 won that payout is a 1.8% yield, on a stock that has fallen 56.3% from its June 22 peak.
TL;DR: The rumored $12.0 billion special dividend is smaller than the $30.0 billion buyback SK hynix already ran from August to October, and about one sixth of the $70.4 billion it booked as net profit in Q2 alone. Its regular dividend is 1,500 won a year, a 0.12% yield, which is why a one-off 23,000 won check is front-page news in Seoul. Our read: a memory maker that hands back a windfall instead of pouring it into fabs is telling you where it thinks the cycle is, and shareholders should take the cash while the board is in a giving mood.

The report: 80% of a Kioxia windfall goes back to shareholders
Korea's Dong-A Ilbo reported on October 26 that SK hynix plans to return about 80% of roughly 20 trillion won in Kioxia gains as a special dividend, about 16 trillion won. Bloomberg and Reuters picked it up within hours, and the US-listed shares (SKHY on Nasdaq) are the ones global traders will price it through.
SK hynix answered with a regulatory notice the same day: it is "reviewing various shareholder return measures," "nothing has been finalized," and the board will announce more with Q3 results on October 28, according to BigGo Finance. That is not a denial. Its own August filing already said it was "reviewing an expansion of dividends, including existing fixed dividends and special dividends," with details promised "at the time of the third quarter earnings announcement."
So the date was set two months ago. The only open question is the size.
Where the money came from: a 2017 bet on Toshiba's chip unit
In 2017 SK hynix put about 395 billion yen into the Bain Capital-led consortium that bought Toshiba's memory business, now Kioxia: 266 billion yen through the Bain fund and 129 billion yen in convertible bonds, per BigGo's recap. Kioxia listed in Tokyo in December 2024, then ran from 3,648 yen on January 6 to a record 37,566 yen on June 22 (split-adjusted) as AI servers ate every flash chip on the market.
SK hynix sold into that run across Q1 and Q2 2026. The Q1 sale alone brought back 4.12 trillion won, and the estimated first-half gain is about 20 trillion won. A roughly 4 trillion won bet turned into a roughly 20 trillion won profit, which is the kind of return a venture fund puts on its website.
You can see it in the Q2 numbers. Operating profit was 60.5 trillion won, but pre-tax profit was 122.7 trillion won. That 62.2 trillion won ($46.6 billion) gap is non-operating items, which include the Kioxia sales (the filing does not break it down further). Net profit came to 93.9 trillion won, $70.4 billion, in one quarter.

Follow the money: who wins, who loses
Shareholders win, finally. SK hynix pays a fixed 1,500 won a year. At 1,275,000 won a share that is a 0.12% yield, less than a Korean savings account. A 23,000 won special check is 15 times the annual dividend and a 1.8% yield in one shot. Seoul has spent years complaining about the "Korea discount," the habit of cash-rich groups hoarding instead of paying out. This is the cleanest test yet of whether that is changing.
The buyback already did the heavy lifting. From August 20 SK hynix bought back 40.0 trillion won of its own stock for cancellation, 24.07 million shares, which BigGo reports finished on October 21, a month early. That is 4.3% of the company at today's price and 2.5 times the size of the rumored dividend. The board called its own shares "undervalued relative to the Company's intrinsic value" when it launched the plan. They were at about 1.66 million won then. They are 1,275,000 now, so the buyback was paid at prices the market has since marked down.
Kioxia loses a friendly holder. The vehicle holding SK hynix's interest became Kioxia's largest shareholder on August 10 with 14.19% of the votes, capped at 15% through 2028. Kioxia's president said in September that further cooperation "cannot be done simply." Cashing out and paying the money to shareholders says SK hynix agrees: the Kioxia stake was a trade, not a partnership.
Solidigm loses its shot at outside cash. Three days before the dividend story, SK hynix told the SEC it had dropped the roughly 5 trillion won pre-IPO raise and IPO plan for Solidigm, its US flash unit, "after comprehensively considering capital market conditions." Translation: the market that paid 37,566 yen for Kioxia in June will not pay up for flash in October, so the parent keeps the subsidiary and sends the cash to its own owners.

The cycle tell nobody wants to say out loud
Memory is the most cyclical business in chips. When a memory maker sees years of shortage ahead, it builds fabs. SK hynix is building: 35.2 trillion won for the Y2 fab at Yongin through 2031 and 7.1 trillion won for the P&T7 packaging plant, per its 6-K filings. But it is also handing back $42 billion in a single year between the buyback and the rumored dividend, more than the whole Y2 budget.
The stock chart says the market already decided. SK hynix is down 56.3% from June 22, Kioxia is down 65.4% from the same day, and Micron is down 27.7% from its June 25 high. Our earlier piece on the KOSPI target cut laid out how Korea is priced for a chip crash. The board just gave a fresh signal: when the people with the order books would rather pay out cash than add another fab, they are not betting on a bigger 2027. Nobody has proven the top is in. The pattern says this is what management teams do near one.
The counterpoint is Q3. Consensus is about 77 trillion won of operating profit, a record, per BigGo. A record quarter plus a giant payout is also what a company does when it has more cash than it can sensibly spend. Both readings end in the same place for a shareholder: take the check.

What to watch on Wednesday, October 28
- The size. 16 trillion won is the bar. Anything smaller and the stock gets punished for a rumor it did not deliver.
- Cash or shares. A dividend gets taxed in investors' hands; a second buyback does not. The mix tells you whether the board is courting Korean retail or foreign funds.
- Capex guide. If 2027 capex rises alongside the payout, the cycle-top reading weakens. If it is flat, it strengthens.
- The ADR. SKHY closed at $137.02 on October 23, 31.0% off its September 9 high. US holders get the dividend through the depositary, minus Korean withholding.

What this means for you
If you hold SK hynix, Samsung or Micron, Wednesday is the day to decide whether you are holding for the cycle or for the cash. Write down your number now (we say 16 trillion won is the line) so the headline does not decide for you. If you do not hold memory, use the payout as a data point: companies at the top of a cycle return cash, companies early in one build.
